Terms of Service

1. Acceptance of Terms

By accessing or using DispatchingIQ ("Service"), operated by DispatchingIQ LLC ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

• These Terms apply to all users, including free tier users and paid subscribers.
• We may update these Terms at any time with 30 days notice for material changes.
• Continued use after changes constitutes acceptance of the new Terms.

2. Description of Service

DispatchingIQ is an AI-powered dispatch intelligence platform for trucking companies, freight brokers, and logistics providers.

• Intelligence Platform: AI-powered load evaluation, rate analysis, and decision support.
• Works With Any Workflow: Bring data via PDF upload, CSV, copy/paste, or email forwarding. No integrations required.
• AI Agents: Automated assistants for dispatch, communication, and load optimization.

3. Account Registration

• You must provide accurate, complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must be at least 18 years old and authorized to bind your company.
• One account per company/organization unless otherwise authorized.
• You must promptly notify us of any unauthorized account access.

• Starter plan includes free, usage-limited access to the platform.
• Free tier access is subject to usage limits as described in your plan.
• Upgrade anytime to unlock higher usage and advanced capabilities.
• Cancel anytime from your dashboard. Access continues until end of billing period.

6. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws.
• Violate FMCSA regulations, HOS requirements, or transportation safety laws.
• Submit false, fraudulent, or misleading information.
• Attempt to gain unauthorized access to our systems or other user accounts.
• Interfere with or disrupt the Service or servers.
• Reverse engineer, decompile, or attempt to extract source code.
• Use automated systems (bots, scrapers) without authorization.
• Resell, sublicense, or commercially exploit the Service without permission.
• Harass, abuse, or harm other users or our staff.

7. AI Agent Terms

• AI agents operate based on your configured autonomy level settings.
• AI recommendations are advisory; you are responsible for final decisions.
• You must review and approve AI-generated communications before sending (unless auto-send is enabled).
• We do not guarantee AI accuracy; verify critical information independently.
• AI agents may be rate-limited or throttled for fair usage.

8. Data Ownership & License

• Your Data: You retain ownership of all data you upload or create ("Your Content").
• License to Us: You grant us a license to host, process, and display Your Content solely to provide the Service.
• Aggregated Data: We may use anonymized, aggregated data for analytics and product improvement.
• Export: You may export Your Data at any time from account settings.
• Deletion: Upon account termination, Your Data is deleted within 30 days (except as required by law).

9. External Services

• DispatchingIQ does not currently offer or require third-party integrations.
• The Service works alongside any existing workflow without connecting to external systems.
• Future integrations, if offered, would be optional, enterprise-only features subject to separate terms.
• You may use third-party services independently; we are not responsible for their availability or accuracy.

10. Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted service.
• Scheduled maintenance will be communicated at least 48 hours in advance.
• We are not liable for downtime due to factors beyond our control.
• Enterprise plans include SLA with uptime commitments and credits.

11. Intellectual Property

• The Service, including all software, designs, and content, is owned by DispatchingIQ LLC.
• You may not copy, modify, or distribute our intellectual property without permission.
• "DispatchingIQ" and our logo are trademarks of DispatchingIQ LLC.
• Feedback you provide may be used to improve the Service without compensation.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

14. Indemnification

You agree to indemnify and hold harmless DispatchingIQ, its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any rights of third parties.

15. Termination

• You may cancel your subscription at any time from account settings.
• Cancellation takes effect at the end of the current billing period.
• We may suspend or terminate accounts that violate these Terms.
• Upon termination, you lose access to the Service and Your Data.
• Sections on liability, indemnification, and arbitration survive termination.

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought in the state or federal courts located in Harris County, Texas.

18. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and DispatchingIQ.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent.
• Force Majeure: We are not liable for delays due to events beyond our control.
